In Treasury Decision 9932, the IRS issued final regulations under Code Section 162(m) which, for federal income tax purposes, limits the deduction for certain employee remuneration in excess of $1,000,000 paid by publicly held corporations.

The final regulations implement the amendments made to Code Section 162(m) by the Tax Cuts and Jobs Act of 2017 and finalize the proposed regulations.
